2. Service description

KJWT provides UK-focused economic development research and policy advisory support. The Site describes our areas of work and provides ways to contact us. Any information on the Site is provided for general informational purposes and does not, by itself, create a client relationship.

Where we agree in writing to provide services (for example, a research brief, policy options note, monitoring framework, evaluation plan, or presentation materials), those services will be governed by a separate written agreement, statement of work, or engagement letter between you and KJWT. That separate agreement will set out fees, deliverables, timelines, confidentiality terms, and acceptance criteria. If there is a conflict between these Terms and a signed project agreement, the signed project agreement will prevail for that project.

KJWT does not provide legal advice, tax advice, or regulated financial advice. Any references on the Site to policy, regulation, or funding are for general understanding and should be checked against official sources and your professional advisers before decisions are made.

3. User obligations

You agree to use the Site lawfully and in a way that respects the rights of others. You are responsible for ensuring that any information you provide through the Site is accurate to the best of your knowledge and does not include sensitive personal data. When submitting an enquiry, please keep descriptions of individuals anonymised unless it is strictly necessary and you have a lawful basis to share it.

You agree not to interfere with the operation, security, or integrity of the Site. You must not attempt to gain unauthorised access to any systems, accounts, or data. You must also not use automated tools to access the Site in a way that could degrade performance for other users.

If the Site provides access to any gated content or areas in the future, you agree to maintain the confidentiality of any access credentials and to use only one account per person unless explicitly authorised in writing. You are responsible for activity that occurs under your credentials.

• Using the Site to distribute illegal content or content that violates third-party rights.

We may suspend access to the Site or block communications where we reasonably believe prohibited activity has occurred or is likely to occur.

5. Intellectual property

The Site and all content on it, including text, graphics, logos, visual design, compiled materials, and underlying code, are owned by or licensed to KJWT and are protected by intellectual property laws. “KJWT” and associated branding elements are trademarks or trade names of KJWT.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your internal, personal, or organisational informational purposes. This licence does not permit you to reproduce, distribute, publicly display, publish, create derivative works from, or commercially exploit any part of the Site without our prior written consent, except where permitted by applicable law.

To the maximum extent permitted by law, KJWT will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or related to your use of (or inability to use) the Site, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, KJWT’s total liability for direct damages arising out of or related to these Terms or the Site will be limited to the lower of (a) the amount you paid to KJWT for services in the 12 months immediately preceding the event giving rise to the claim, or (b) €100.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

8. Indemnification

You agree to indemnify and hold harmless KJWT from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any law or third-party rights.

We will notify you of any claim for which indemnification is sought, and you agree to cooperate reasonably in the defence. We reserve the right to participate in the defence with counsel of our choosing at our own expense.

9. Third-party links and services

The Site may refer to third-party publications, datasets, or external websites for background reading. Those third-party resources are not controlled by KJWT. We are not responsible for the content, policies, or practices of third-party sites or services, and you access them at your own risk.

11. Governing law and dispute resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales.

You and KJWT agree to attempt to resolve disputes informally before starting formal proceedings. If you have a concern, please contact us using the details in the “Contact details” section below and allow a 30-day period for informal resolution. If the dispute is not resolved within that period, the courts of London, England, will have exclusive jurisdiction, subject to any mandatory consumer protection rights that apply to you.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms or if suspension is necessary to protect the Site, other users, or KJWT. You may stop using the Site at any time.

The following sections will survive termination: Intellectual property, Disclaimer of warranties, Limitation of liability, Indemnification, Governing law and dispute resolution, and any other provisions that by their nature are intended to survive.

13. Changes to these Terms

We may update these Terms from time to time to reflect changes in the Site, legal requirements, or how we operate. Updated Terms will be posted on this page and will become effective 14 days after posting, unless a change must take effect sooner for legal reasons.
